Ciro’s practice is principally focused on highly complex international transactions and tax planning. In recent years, he has played a significant role in structuring transactions for Bermuda insurance and reinsurance companies and an insurance broker. He is a critical tax advisor to multinational clients in the pharmaceutical and technology sectors and mezzanine fund and financial sectors, and he advises in highly sensitive tax matters from the earliest planning stages through completion. Ciro works extensively with tax advisors in foreign jurisdictions and has developed and implemented innovative and highly tax advantaged structures in Ireland, Luxembourg, Switzerland and Bermuda.
Ciro has advised publicly traded Bermuda insurance and reinsurance companies, including Arch Capital Group Ltd., Montpelier Re Holdings Ltd., White Mountains Insurance Group, Ltd., Max Capital Group Ltd., Greenlight Capital Re, Ltd., American Safety Insurance Holdings, Ltd., XL Capital Ltd, and Security Capital Assurance Ltd on tax matters relating to corporate structure, operations and financings. He has also advised privately held Bermuda reinsurance companies, including Ironshore Inc., Validus Holdings, Ltd., Olympus Re Holdings, Ltd., and Helicon Re Holdings, Ltd., in connection with their formation, capitalization and operations and Integro, Ltd., a worldwide insurance brokerage company newly formed in the Cayman Islands.
Ciro has represented a non-U.S. publicly traded Irish pharmaceutical company, on many aspects of its business, including its joint venture with a U.S. pharmaceutical company relating to a potentially billion dollar product. He also has advised Xoma Corporation, a publicly traded non-U.S. biotechnology company, and private non-U.S. technology companies.
Ciro has structured the redomestications to Bermuda of Xoma Corporation, White Mountains Insurance Group, Arch Capital Group Ltd., publicly traded companies, and a privately held company as well. Other non-U.S. clients include Mezzanine Management, an investment advisor to several U.K. mezzanine funds.
Ciro joined Cahill in 1965, served as an officer in the U.S. Army Judge Advocate General’s Corps from 1966 to 1969 and became a partner in 1974.
