A corporate and securities practitioner and Cahill partner of more than 35 years, Gerry is notably experienced in a wide range of corporate matters, including insurance and reinsurance financings (soft capital, side car and collateralized swap transactions), creditors’ rights and bankruptcy matters, project finance, hedge fund investments, leveraged financing and investment grade securities offerings, mergers and acquisitions and general corporate matters. 

Gerry is “designated underwriters counsel” on behalf of a number of public companies. He represents public companies and Boards of Directors and committees in connection with business combinations, investigations and other corporate matters.

Gerry has represented XL Capital Ltd in a variety of matters, including several asset-backed capital commitment pass-through securities offerings and a special purpose insurance vehicle providing a quota share reinsurance treaty, as well as dozens of public offerings of securities by it. He has also represented XL Capital Ltd in connection with its investments in a number of hedge fund managers and the funds managed by them.

  • Representation of Coca-Cola Enterprises, Inc. in connection with the sale of its North American business to The Coca-Cola Company, the spin-off of its European operation and the acquisition of the spun-off company of the Norwegian and Swedish businesses of The Coca-Cola Company.
  • Representation of Deutsche Bank, Credit Suisse, Citi, Royal Bank of Scotland and other financial institutions in numerous securities and bank lending transactions.
  • Representation of Forbes Inc. in connection with the investment by Elevation Partners in Forbes Media LLC.
  • Representation of Forbes Media in connection with several acquisitions of Internet companies.
  • Representation of The White Birch Paper Company in connection with the acquisition of SP Newsprint.
  • Representation of the U.S. Department of the Treasury in connection with the 1980 Chrysler Corporation Loan Guarantee Program.
  • Representation of various lenders in connection with special purpose non-recourse financing facilities.
  • Representation of Todd Shipyard Corporation and Anchor Glass Container Corporation in their respective bankruptcy proceedings.

Gerry joined Cahill following the completion of his active service with the U.S. Army and became a partner in 1974.
