Elai Katz will be a speaker Panelist at a lunchtime teleconference on Post-Closing Review of Mergers: Recent Developments in the U.S. and Canada, presented by the ABA Section of Antitrust Law, Mergers & Acquisitions Committee and Canadian Bar Association Competition Law Section, Mergers Committee. Bart Friedman will be participating on the Panel of ODX, The Outstanding
Directors Exchange. The conference is for directors to exchange real-life
experiences and solutions to the issues they face in the boardroom. ODX events
are held in partnership with Columbia Business School Executive Education
Program.
ODX will also be honoring independent directors of public companies who have
been recognized by their peers for making a courageous or valuable contribution
to the companies on whose boards they serve. Since its inception in 1998 the
program has honored more than 80 corporate directors of American public
companies. It operates under the rubric of The Outstanding Directors Exchange -
the umbrella organization for the Outstanding Directors Awards and the ODX
programs in corporate governance. Its mission is to support the educational

Moving Beyond Compliance: The Effect of the New Rules on Corporate
Boards
Bart Friedman has been selected to be a panelist in the 2007 AESC
Americas Conference.
A panel of corporate directors, governance experts and search consultants
will examine how the balance of power and rules of engagement are changing with
the greater representation and involvement of independent directors. They will
discuss a more strategic approach to board recruiting and will look at the new
director profile. Panelists will comment on Board involvement with CEO
compensation, succession planning and the relationship between boards and
institutional shareholders.
