Morgan Securities Inc., Credit Suisse Securities (USA) LLC and the other underwriters in DIRECTV Holdings LLC and DIRECTV Financing Co., Inc's three public offerings of their $750,000,000 aggregate principal amount of 3.125% Senior Notes due 2016, $1,000,000,000 aggregate principal amount of 4.600% Senior Notes due 2021 and $1,250,000,000 aggregate principal amount of 6.000% Senior Notes due 2040.
