Morgan as joint book-running managers and the other co-managers in Ally Financial's registered offering of $750,000,000 aggregate principal amount of its 4.5% Senior Guaranteed Notes due 2014 and $750,000,000 aggregate principal amount of its Floating Rate Senior Guaranteed Notes due 2014.
