Cahill acted as special U.S. counsel to TD Securities, BMO Capital Markets, Morgan Stanley, and SunTrust Robinson Humphrey as joint book-running managers and the passive bookrunners in connection with the Rule 144A offering of CAN$200,000,000 aggregate principal amount of 8.50% Second Priority Senior Secured Notes due 2020 by Gateway Casinos & Entertainment Limited. Proceeds from the offering were used to pay a dividend and to refinance existing indebtedness.
