Howard has extensive experience in structuring and negotiating tax aspects of mergers, acquisitions, dispositions, spin-offs, joint ventures, leveraged finance, and high-yield debt transactions, as well as in general tax planning and tax litigation. Howard has represented JPMorgan in connection with recent acquisitions and a split-off from its Paymentech joint venture, AIG in connection with its disposition of American Life Insurance Company, the WebMD Health Corp. Special Committee in connection with WebMD's merger with HLTH Corporation, and General Electric Company in connection with the combination of NBC with Universal Studios and NBC's acquisition of Bravo. Other clients include Bank of America and Morgan Stanley.
Earlier in his career, Howard was a Trial Attorney in the Tax Division of the United States Department of Justice, where he won an Outstanding Attorney Award in 1983.
