Brian Kelleher is a member of the Firm's corporate practice group.

Brian advises leading investment banking firms, commercial banks and public and private corporations in leveraged finance transactions involving both new issuance of secured and unsecured high-yield debt securities as well as syndicated institutional loans. He has represented the financing sources in a number of recent acquisitions, such as the leveraged buyout of Mulitplan by BC Partners and Silver Lake Partners, the acquisition of SeaWorld Parks & Entertainment by Blackstone and the $5 billion acquisition of Tomkins plc by a company formed by Onex Corp. and the Canada Pension Plan Investment Board, which is reported to be the largest leveraged buyout completed in the Euromarket in 2010. Brian has advised the financing sources in landmark buyouts of the LBO boom, including Clear Channel, Kinder Morgan, Alltel and Harrah's Entertainment.

Brian has extensive experience in out-of-court debt restructurings, including recapitalizations and debt tender and exchange offers. He represented the dealer managers in connection with Ally Financial's (F/K/A GMAC) historic debt exchange offers and cash tender offers for approximately $38 billion of debt of Ally and various of its subsidiaries, and has represented the initial purchasers in connection with several subsequent debt financing transactions for Ally. Brian has also represented the initial purchasers in several recent secured and unsecured debt refinancings by MGM Resorts International as well as in the recent $1 billion multicurrency debt refinancing by water treatment services company Nalco Co.

Brian also advises global corporations in strategic transactions, including representation of Elan Corporation in connection with the headline-grabbing acquisition by Johnson & Johnson of substantially all of the assets and rights of Elan related to its Alzheimer's Immunotherapy Program. The deal was named "M&A/Alliance Deal of the Year, 2010" by The Pink Sheet Daily.

Brian has practiced in a variety of industries, including aerospace, energy, financial services, gaming, retail, technology, biotechnology, telecommunications and transportation.
