A corporate and securities practitioner with more than 35 years experience, Gerald has represented issuers, investment and commercial banks and corporations in corporate transactions including public and private equity and high yield and investment grade debt offerings, leveraged buyouts and mergers and acquisitions. He has worked with companies in a variety of industries, including those in oil and gas and drilling, retail, biotech and pharmaceuticals, technology, telecommunications and REITs. Gerald has been consistently recommended as a leading corporate practitioner, including by the Legal500 (2007) and by Euromoney’s IFLR 1000 - Guide to the World’s Leading Financial Law Firms for his work in prominent debt and equity transactions (2006, 2007).

  • Representation of JPMorgan Fleming Asset Management in its acquisition of Highbridge Capital Management, LLC, representation of J.P. Morgan Retirement Plan Services LLC in its acquisition of CCA Strategies, LLC and representation of JPMorgan Chase Bank, N.A. in its acquisition of the custody and securities lending services operations of Ameriprise Financial, Inc.
  • Representation of J.P. Morgan Securities Inc. as managing underwriter in a variety of initial public offerings and follow-on offerings.
  • Representation of leading education finance company Nelnet, Inc. in its initial public offering, a $275 million Senior Notes offering, a $200 million Capital Efficient Notes offering and various other matters.
  • Representation initially of the underwriters of Krispy Kreme Doughnuts, Inc. in its initial public offering and subsequently of the company itself in a variety of matters, including refinancings of its credit facilities.
  • Representation of the underwriters in a variety of financings for biotechnology, pharmaceutical and medical device companies, including: Celgene Corporation, Digene Corporation, Genentech, Inc., Gilead Sciences, Inc., Keryx Biopharmaceuticals, Inc., Maxim Pharmaceuticals, Inc. and The Medicines Company.
Gerald began his career at Cahill after graduating from the University of Georgia School of Law, where he was Notes Editor of the Georgia Law Review.  He became a partner in 1978 and was a member of the Firm's Executive Committee from 1989 until his retirement as a partner at the end of 2008.
