John's practice is principally focused on securities financings in connection with acquisitions and refinancings. His clients include leading investment banking firms.
 
SELECTED MATTERS:
  • Representation of Deutsche Bank Securities Inc. and various other investment banks in connection with over $3 billion of high-yield notes issued at various corporate levels to finance Intelsat Ltd.'s acquisition of PanAmSat Holding Corporation, and a related tender offer and consent solicitation for outstanding notes of PanAmSat Holding Corporation.
  • Representation of various investment banks in connection with over $1.5 billion in high-yield notes issued in connection with the acquisition of VNU N.V. (parent company of Nielsen Corporation) by six private equity firms.
  • Representation of Deutsche Bank Securities Inc. and Goldman, Sachs & Co. in connection with a $300 million floating rate pay-in-kind note offering by Houghton Mifflin LLC to finance a distribution to its stockholders.
  • Representation of Citigroup and various other investment and commercial banks in connection with over $1 billion of senior secured first and second lien notes and senior secured term loans of Paxson Communications Corporation to refinance certain of its outstanding indebtedness and related tender offers and consent solicitations in connection with such refinancing.
  • Representation of Credit Suisse and the other underwriters in connection with a common stock offering and a senior secured notes offering for Clean Harbors, Inc.
  • Representation of Deutsche Bank Securities Inc. and various other investment banks in connection with a $3 billion multi-tranche note financing in connection with the acquisition of SunGard Data Systems by seven private equity firms.
  • Representation of Deutsche Bank Securities Inc. and various other investment banks in connection with senior subordinated fixed rate and senior floating rate note offerings to finance the acquisition of New Skies Satellites N.V. by The Blackstone Group.
  • Representation of Goldman, Sachs & Co. and various other underwriters in connection with an initial public offering of common stock of New Skies Satellites Holdings Ltd.
  • Representation of Deutsche Bank Securities Inc. and other investment banks in connection with a $2.6 billion financing in connection with the acquisition of Intelsat, Ltd. by Apollo Management L.P., Apax Partners, Madison Dearborn Partners and Permira and a subsequent holding company discount note offering.

John has practiced at Cahill since his graduation from Fordham Law School. He became a partner in 1998.
