Intcomex, Inc. Completes Rule 144A Offering and Debt Tender Offer

Cahill represented Banc of America Securities LLC and Citigroup Global Markets Inc. as initial purchasers in connection with Intcomex's $120,000,000 Rule 144A offering of 13.25% Second Priority Senior Secured Notes due 2014. Cahill also represented Banc of America Securities LLC as dealer manager and solicitation agent on Intcomex's tender offer and consent solicitation for its existing 11.75% Second Priority Senior Secured Notes due 2011. The transactions were part of a refinancing plan to redeem all of its existing 11.75% Second Priority Senior Secured Notes due 2011.
