SELECTED MATTERS:
  • Representation of Centerplate Inc. in its sale to affiliates of private equity firm Kohlberg & Co.
  • Representation of the Great Atlantic & Pacific Tea Company in its acquisition of Pathmark Stores Inc.
  • Representation of underwriters in a public offering of $400 million of notes for R.R. Donnelley & Sons, the largest printing company in North America.
  • Representation of Anchor Glass Container Corporation in connection with its $145 million term loan and a $70 million asset-based revolving line of credit put in place to refinance its DIP loans and provide liquidity as it exited bankruptcy.
  • Representation of various initial purchasers and underwriters as designated counsel in six debt and equity offerings over the last six years raising over $3.5 billion in proceeds for Flextronics International, one of the world’s largest OEM outsourcing companies.
  • Representation of various lenders and initial purchasers in over $2 billion in debt financings used to consummate the purchase of Warner Music Group by Thomas H. Lee, Bain Capital, Providence Equity Partners and Mr. Edgar Bronfman and to refinance debt incurred at closing and representation of underwriters in connection with Warner Music’s subsequent initial public equity offering.
  • Representation of administrative agent and sole lead arranger for a $110 million first lien/second lien credit facility for a private company to consummate an acquisition.
  • Representation of initial purchaser in a Rule 144A offering of $125 million of notes to finance the acquisition of El Pollo Loco restaurants by a financial sponsor.
