Intelsat Completes $5.0 Billion Bridge Facilities; Credit Agreement Amendments

Cahill represented Credit Suisse, Cayman Islands Branch, as Administrative Agent, Banc of America Bridge LLC, as Syndication Agent, Morgan Stanley Senior Funding, Inc. as Documentation Agent, and Credit Suisse Securities (USA) LLC, Banc of America Securities LLC and Morgan Stanley Senior Funding, Inc., as Joint Lead Arrangers and Joint Bookrunners, in a $2,805,000,000 Senior Unsecured Bridge Loan Credit Agreement and a $2,155,000,000 Senior Unsecured PIK Election Bridge Loan Credit Agreement to finance the acquisition of Intelsat, Ltd., the parent company of Intelsat (Bermuda), Ltd., by Serafina Holdings, Limited, an entity formed by funds advised by BC Partners, Silver Lake and other equity investors. In connection with the Acquisition, two indirect subsidiaries of Intelsat, Ltd. amended their existing credit agreements and one of the subsidiaries incurred an additional $150,000,000 of term loans.
