Rock-Tenn Completes Rule 144A Offering and Cash Tender Offer

Cahill represented Banc of America Securities LLC, Wachovia Capital Markets, LLC, Suntrust Robinson Humphrey, Inc. and J.P. Morgan Securities Inc. as initial purchasers in the $100,000,000 Rule 144A/Reg S offering by Rock-Tenn Company of its 9.25% Senior Notes due 2016. The proceeds from the offering were used to finance the Company's cash tender offer for a portion of its existing 8.20% Senior Secured Notes due 2011 and for general corporate purposes. Cahill also represented Banc of America Securities LLC, SunTrust Robinson Humphrey, Inc. and Wachovia Capital Markets, LLC as dealer managers in connection with the cash tender offer.
