CNO Completes $275 Million Private Placement and $375 Million Term Loan

Cahill represented Morgan Stanley & Co. Incorporated and Barclays Capital Inc. as joint book-running managers and FBR Capital Markets & Co. as co-manager in connection with the Rule 144A/Reg S offering by CNO Financial Group, Inc. of $275,000,000 9.00% Senior Notes due 2018 (the "Notes") and Morgan Stanley Senior Funding, Inc. and Barclays Capital as Joint Lead Arrangers and Joint Bookrunners, Barclays Capital as Syndication Agent, and FBR Capital Markets & Co. as Documentation Agent in connection with CNO Financial Group, Inc. entering into a secured credit agreement consisting of a term loan facility of $375,000,000. The proceeds from the offering of the Notes and the borrowings under the secured credit agreement were used to repay outstanding borrowings under the Company's existing credit facility and for general corporate purposes.
