Morgan, and Morgan Stanley as joint book-running managers and the co-managers in connection with the public offering of $750,000,000 aggregate principal amount of 5% Senior Unsecured Notes due 2023 by CIT Group Inc. Proceeds from the offering are for general corporate purposes.
