Cahill Represents Lead Arrangers in Financing of the Combination of the Shine Group with Endemol

Cahill represented Deutsche Bank as first lien administrative agent and Deutsche Bank, Credit Suisse and Nomura as lead arrangers in connection with over $320 million (equivalent) of term loan facilities, with the term loan facilities denominated in a mix of U.S. dollars and Euros. The facilities are guaranteed by entities organized in the United States, England, the Netherlands, Germany, France, Italy, Australia and Spain. Proceeds from the facilities were used in connection with the contribution of the equity in the Shine Group by 21st Century Fox to Endemol, a portfolio company of Apollo Global Management, which resulted in the formation of the Endemol Shine Group, which will be jointly held and managed by 21st Century Fox and Apollo Global Management. The Endemol Shine Group, headquartered in the Netherlands, will be a global entertainment group with a portfolio of international television hits including Masterchef, American Idol, Big Brother, Broadchurch, The Money Drop, Peaky Blinders, Grantchester, Deal or No Deal, Wipeout, The Biggest Loser, Black Mirror, Mr. Bean, So You Think You Can Dance, One Born Every Minute, The Fall and Man vs. Food. Endemol Shine Group’s businesses will have creative operations in over 30 markets, with a portfolio of over 600 revenue generating formats across scripted and non-scripted genres, coupled with digital, gaming, and distribution operations.
