Cahill Represents Initial Purchasers in Core Scientific’s $3.3 Billion Notes Offering

Cahill represented the initial purchasers in connection with a rule 144A offering of $3.3 billion aggregate principal amount of 7.75% senior secured notes due 2031 by Core Scientific Finance I LLC, a subsidiary of Core Scientific, Inc. (“Core Scientific”).

Proceeds from the offering were used to fund a debt service reserve account in connection with the construction of certain data center infrastructure projects and to make a distribution to Core Scientific, a portion of which will in turn be used to repay Core Scientific’s existing indebtedness.

Core Scientific designs, builds, and operates large-scale, purpose-built data centers for high-density colocation services.
