Andrew B. Jacobs is a counsel in the New York office of Cahill Gordon & Reindel LLP’s corporate practice group.

Andrew’s practice is principally focused on advising leading investment banking firms and commercial banks in public and private financing transactions, including secured and unsecured debt offerings, bank financings, leveraged buyouts and loan commitments. Andrew has represented the financing sources in numerous acquisition-related financings, including the financing sources in connection with the $67 billion purchase by Dell of EMC and the $24.9 billion buyout of Dell by Michael Dell and Silver Lake Management LLC.

Andrew also has significant experience representing financing sources in debtor-in-possession and exit financings, including the lead arrangers in the $5.5 billion senior-secured super-priority debtor-in-possession credit facilities to PG&E Corporation and Pacific Gas and Electric Company in connection with their bankruptcy cases.

In addition, Andrew represents public and privately-held companies on mergers and acquisitions. For example, Andrew represented NBCUniversal in the landmark $7.75 billion acquisition of the exclusive U.S. broadcast rights for the 2022-2032 Summer and Winter Olympic Games, as well as NBCUniversal in its $4.38 billion acquisition of the exclusive broadcast rights to the Olympic Games through 2020.

Andrew has a broad range of financing experience in both domestic and cross-border transactions and has practiced in a variety of industries, including financial services, healthcare, media and communications, food services, gaming, retail, manufacturing, and technology.
