Sebastian Chan advises financial institutions, funds, and companies ranging from start-ups to global corporations on debt and equity financings, including loans, equity and hybrid investments, high yield securities offerings and bond transactions. Sebastian's work includes advising clients on mergers and acquisitions and asset sales. He also advises his corporate, FinTech and lender clients on complex issues involving licensing and usury laws, Uniform Commercial Code, SEC rules, and financial services matters including banking rules and the Investment Company Act. Sebastian is well versed in financing structure and terms, special purpose entities, choice of law, and cross-border concerns, particularly China and Europe.
