Cahill Represents Lead Arrangers in Over $1.55 Billion (Equivalent) Credit Facilities for Acquisition of Endemol

Cahill represented Deutsche Bank as first lien administrative agent, J.P. Morgan as second lien administrative agent and Deutsche Bank, J.P. Morgan, Credit Suisse and Nomura as lead arrangers in connection with over $1,550,000,000 (equivalent) of credit facilities comprised of an approximately $950,000,000 (equivalent) first lien term loan, $170,000,000 (equivalent) first lien revolving facility and $457,000,000 second lien term loan, for AP NMT Acquisition B.V., with the first lien facilities denominated in a mix of U.S. dollars, Euros and Pounds Sterling. The facilities are guaranteed by entities organized in the United States, England, the Netherlands, Germany, France, Italy, Australia and Spain. Proceeds from the facilities were used in connection with the acquisition of the equity of Endemol by Apollo Global Management as part of a complex debt and equity restructuring transaction. Endemol, based out of the Netherlands, is a world leading creator, producer and distributor of multiplatform entertainment and its television shows include “Big Brother” and “Deal or No Deal.” The company annually produces over 15,000 hours of programming across scripted and non-scripted genres, including drama, reality TV, comedy, game shows, entertainment, factual and kids programming. Endemol comprises a global network spanning more than 30 countries and works with over 300 broadcasters, digital platforms and licensees worldwide.
