Matt Rosenthal represents investment banks, commercial banks and institutional investors in corporate financing transactions including syndicated, asset-based and direct lending transactions; debt and equity capital markets transactions; leveraged buyouts including financing commitments; project financings; and out-of-court restructurings.
Matt has been particularly active on data center financings and related digital infrastructure projects, including recent financings for WULF Compute LLC, Cipher Compute LLC and Flash Compute LLC.
Matt has represented the financing sources in connection with numerous leveraged buyouts and other acquisitions, including Eldorado Resorts’ acquisition of Caesars Entertainment and Caesars Entertainment’s acquisition of William Hill; Nexstar Broadcasting’s acquisitions of Tegna, Tribune Media and Media General; Sunoco LP’s acquisition of Parkland Corporation; the acquisitions of Solenis, Diversey, Ingram Micro and other portfolio companies by Platinum Equity; Apollo’s acquisition of Tenneco; a Blackstone-led consortium’s majority investment in Thomson Reuter’s Financial and Risk business; and many other public and private acquisitions.
Matt also has particular expertise representing lenders and arrangers in connection with asset-based lending transactions.
