Cahill Represents Dealer Managers in RR Donnelley's Cash Tender Offers

Cahill represented J.P. Morgan Securities Inc. and Banc of America Securities LLC as dealer managers in connection with cash tender offers by R.R. Donnelley & Sons Company (the "Company") for any and all of its 5.625% notes due 2012 (the "2012 Notes") and up to $175 million aggregate principal amount of its 4.95% notes due 2010 (the "2010 Notes") in connection with the Company's concurrent public offering of $350,000,000 in aggregate principal amount of unsecured senior debt securities completed August 26, 2009. The Company's cash tender offers resulted in the tender and acceptance for purchase of $466,398,000 aggregate principal amount of the 2012 Notes and $174,251,000 aggregate principal amount of the 2010 Notes.
