INC Research Completes Acquisition Financing

Cahill represented Morgan Stanley, ING Capital and RBC Capital Markets in bank and bond financings and a tender offer associated with the debt financing for the acquisition of Kendle International, a clinical research organization focused on biopharmaceuticals, by INC Research, LLC.
Cahill represented Morgan Stanley, ING Capital and RBC Capital Markets in connection with a $375,000,000 credit facility comprised of a $300,000,000 Term B loan and a $75,000,000 revolving credit facility.
Cahill represented Morgan Stanley, ING and RBC Capital Markets as initial purchasers in the Rule 144A/Reg S offering by INC Research, LLC. of $300,000,000 of 11.5% Senior Notes due 2019.
Cahill also represented Morgan Stanley & Co. as dealer manager in connection with a cash tender offer and consent solicitation for any and all of Kendle's $142,500,000 aggregate principal amount of 3.375% percent Convertible Senior Notes due 2012.
